SEC’s EDGAR Next: A Must-Know for Filers and Their Legal Teams

The SEC has rolled out EDGAR Next, a major upgrade to its filing system. It started on March 24, 2025, and it changes how companies and individuals file with the SEC. Whether you’re an issuer, an SEC filer, or part of a legal team, grasping these changes isn’t merely a technicality; it’s essential for compliance and ensuring your critical filings go smoothly.

Stronger Security, Clearer Accountability

At its heart, EDGAR Next is all about making things safer and easier to manage. The old way of sharing logins and CIKs is out. Now, everyone who uses EDGAR Next needs their own Login.gov account with multi-factor authentication. This means every action and every filing can be traced back to a specific person, making the process more secure and transparent.

What’s New with EDGAR Next?

The new system brings several big changes:

  • Your Own Login.gov Account with MFA: This is the foundation. Without it, you can’t get into EDGAR Next.
  • New EDGAR Filer Management Dashboard: Think of this as your control center. It’s a website where you’ll manage everything, from setting up your account to giving others access.
  • Specific Roles for Users: You’ll now assign clear roles:
    • Account Administrators: You need at least two (or one for individual filers). These are the main managers, controlling who can access your account, giving filing permission, and doing the new yearly account checks.
    • Technical Administrators: If you use special programs (APIs) for automatic filings, you’ll need these.
    • Users: People who prepare and send filings.
  • Updated Form ID: If you’re a new filer, the process for getting your initial ID is now built into EDGAR Next.
  • Optional APIs: For a smoother, automated process, EDGAR Next offers tools for direct computer-to-computer filings.
  • Yearly Account Check: A new rule: your Account Administrators must confirm your account details and who has access every year. If you don’t, your account could be turned off, stopping your filings.

Working with Others: The New Delegation Process

One of the biggest changes affects law firms and other third parties who file for you. Sharing CIKs and passwords is no longer allowed. EDGAR Next uses a secure “Delegated Entity” system:

  • “Delegated Entities”: These are the filing agents, law firms, or other services you authorize to file on your behalf. They get permission to file but don’t control your main EDGAR account.
  • Separate Accounts: Both you (the filer) and your filing agent must have your (their) own active EDGAR Next accounts.
  • You Start the Delegation: Your Account Administrator(s) will begin the process through your EDGAR Filer Management Dashboard. You’ll identify your filing agent by their CIK and give them permission to file for you.
  • Agent Accepts: The filing agent’s own Account Administrator(s) will get a notice and must formally “Accept” your request in their EDGAR Next dashboard.
  • Agent Manages Their Users: Once delegated, the filing agent’s administrators can then let their own staff (“Delegated Users”) prepare and send filings for you. These users will use their own Login.gov details, your CIK, and your new CIK Confirmation Code (CCC) to file.
  • You Stay in Charge: Even with delegation, the filing agent doesn’t get administrative control over your account. You keep full control over your account settings and user access.
  • Talk to Your Agent: It’s vital to coordinate with your filing agent. Discuss who will handle enrollment, confirm your agent’s CIK, and make sure they get your updated CCC after you enroll in EDGAR Next.

Important Dates and What to Do

Switching to EDGAR Next isn’t optional, and hitting these deadlines is key:

  • March 24, 2025: EDGAR Next launched. Existing filers could start enrolling. New filers must use the updated Form ID.
  • September 15, 2025: The old EDGAR login system will be shut down. After this date, you must use EDGAR Next for all filings. If you haven’t enrolled by then, you won’t be able to file.
  • December 19, 2025: The easy enrollment period ends. If you haven’t finished by this date, you’ll have to file a special, more complex Form ID, which could cause unnecessary delays.

Here’s your to-do list now:

  1. Who Uses EDGAR? List everyone, internal or external, who currently accesses or manages your EDGAR filings.
  2. Get Login.gov Accounts: Make sure everyone on that list creates their own Login.gov account with multi-factor authentication.
  3. Go to the Dashboard: Start the enrollment process on the new EDGAR Filer Management Dashboard.
  4. Claim Your CIKs: Link your existing CIKs to the EDGAR Next system. You’ll need your CIK, CIK Confirmation Code (CCC), and passphrase. (Note: if your CCC or passphrase is from before September 2019, you might need to reset it in the old system first.)
  5. Assign Admin & User Roles: Set up the required administrators and other users in your organization.
  6. Pick Your Annual Check Date: Choose a quarterly deadline for your mandatory yearly account confirmation.
  7. Work with Your Filing Agents: Proactively set up delegation for your law firms, financial printers, or other agents. Make sure they get your new CCC once you’ve enrolled.

The SEC’s EDGAR Next is a big change for the better, making filings safer and more efficient. By acting now, you can ensure a smooth transition and keep your SEC filings on track.
